In the procmkx room we have been discussing an interesting thing that happened to ranupbill and tatbird...two months ago they requested to get cmkx certs transferred into diffrent family members' names. They had to go through Kevin West who ok'd it. When they received their certs..lo and behold there is Urban Casavant's signature as President and Corey Klassen's name as Secretary (who is now with Entourage?)

Momike mentioned the fact that we have been led to believe that the person by the name of Urban Casavant is a crook and being hunted down to answer a lawsuit...is the same person still signing cmkm certs...hmmm ...and Kevin gives permission for these certs to be distributed to us today? How is it legal for Urban to remain a signatory on our certs? Does anyone care to comment?

Also Tatbird says the new certs do not contain this typed message on the bottom as some of the older ones did: This reproduced signature is specifically and soley for this distribution of CMKM (under the transfer agents' signature)

Phone calls were made to the TA and to Frizzell office about Urban's
signature still being on the certs. It is because they have a bunch of them still printed..those signatures were fed in and several printed out during the cert pull. They are still valid CMKM certs.
As a matter of fact, Korey Classen hasnt been with the company in about 3 years, yet his name still appears. It means nothing. The certs that they turned in were reissued from certs during Urbans
tenure. Both the TA and Tyler say these certs are legitimate and bona
fied..sorry..another dead end

NRS 78.235 Stock certificates: Validation; facsimile signatures; uncertificated shares and informational statements; replacement.

3. If any officer or officers who have signed, or whose facsimile signature or signatures have been used on, any certificate or certificates for stock cease to be an officer or officers of the corporation, whether because of death, resignation or other reason, before the certificate or certificates have been delivered by the corporation, the certificate or certificates may nevertheless be adopted by the corporation and be issued and delivered as though the person or persons who signed the certificate or certificates, or whose facsimile signature or signatures have been used thereon, had not ceased to be an officer or officers of the corporation.

Regarding the NEW certs with UC's OLD signature:

The Sec Rule: Applies like this according to a corporate lawyer we just spoke to:

This rule applies if a CEO dies or is otherwise removed as CEO of the company in question on the cert WHEN THE CERT IS GIVEN BACK TO THE COMPANY for disbursement or for any transaction (changing names on cert etc)..it means the CERT is still good despite the fact that things have changed in the company regarding CEO or even TA.

HOWEVER for the making of all new certs...the TA IS NOT ALLOWED IN FACT IT IS ILLEGAL to keep blank certs that are signed. Every cert must be ok'd by the CEO and all information must be up to date and a seal is not allowed until the amount of shares, the signatures and all pertinent information on the NEW CERT is UP TO DATE and agreed to by the PRESENT CEO. Therefore there can be NO OLD NAMES on a NEW CERT. Therefore Urban Casavant must STILL be the CEO of CMKM.

I contacted 1st Global to ask them why Urban's signature was on our new Certs... and not Kevin's. Apparently, the Certs are pre-printed that way.

I spoke with Leslie, and she says that Kevin has not contacted them to have new pre-printed certs made up. So, they are using what they have.

Case solved... for now.
